1. Acceptance of Terms

Welcome to Bodhi LMS, a cloud-based Learning Management System operated by Avallark Services LLP ("Avallark," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Bodhi LMS platform, including all content, features, and services offered through our website and application (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Service Description

Bodhi LMS is a Software-as-a-Service (SaaS) platform designed to provide Learning Management System capabilities for organizations, educational institutions, and individuals. Our Services include:

  • Course creation, management, and delivery
  • User enrollment and progress tracking
  • Assessment and certification tools
  • Reporting and analytics
  • Mobile-first learning access
  • API integration capabilities

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account
3.2 Organizational Accounts

If you are accessing Bodhi LMS through an organization (employer, educational institution, etc.), the organization's administrators may have access to your account information and learning data.

3.3 Account Eligibility

You must be at least 18 years of age to create an account independently. Users under 18 may only use the Services with parental or guardian consent and supervision.

4. Subscription Plans and Pricing

4.1 Subscription Models

Bodhi LMS offers various subscription plans, which may include:

  • Free trial periods
  • Monthly subscription plans
  • Annual subscription plans
  • Enterprise custom plans
  • Per-user or per-course pricing models
4.2 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice of any price changes.

4.3 Billing and Payment
  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • Payment is due on the subscription start date and each renewal date
  • All fees are exclusive of applicable taxes, which are your responsibility
  • Payment must be made via approved payment methods
  • Failed payments may result in service suspension or termination
4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for the renewal term.

5. Refund and Cancellation Policy

5.1 Free Trial Period

If you are on a free trial, you may cancel at any time during the trial period without charge. After the trial period ends, you will be charged for the subscription unless you cancel before the trial ends.

5.2 Cancellation Process

You may cancel your subscription at any time through:

Cancellations take effect at the end of the current billing period. You will retain access to the Services until the end of your paid subscription period.

5.3 Refund Policy for Monthly Subscriptions

7-Day Money-Back Guarantee: If you are dissatisfied with Bodhi LMS within the first 7 days of your initial subscription, you may request a full refund by contacting us at support@avallark.com.

After 7 Days: Monthly subscriptions are non-refundable after the first 7 days. If you cancel after this period, you will not receive a refund for the current month, but your subscription will not renew.

5.4 Refund Policy for Annual Subscriptions

30-Day Money-Back Guarantee: If you are dissatisfied with Bodhi LMS within the first 30 days of your initial annual subscription, you may request a full refund.

After 30 Days: Annual subscriptions are non-refundable after the first 30 days. If you cancel after this period, you will retain access until the end of your annual term but will not receive a prorated refund.

5.5 Enterprise and Custom Plans

Refund and cancellation policies for enterprise and custom plans are governed by the specific agreement between you and Avallark Services LLP.

5.6 Refund Exceptions

Refunds will not be provided for:

  • Accounts terminated for violation of these Terms
  • Partial subscription periods (no prorated refunds except as stated above)
  • Renewal subscriptions (refund window applies only to initial subscriptions)
  • Add-on features or services purchased separately
5.7 Processing Refunds

Approved refunds will be processed within 10-15 business days to the original payment method. Please allow additional time for your financial institution to process the refund.

5.8 Data Retention After Cancellation

Upon cancellation:

  • Your account and data will be retained for 30 days in case you choose to reactivate
  • After 30 days, your account may be permanently deleted
  • You may request immediate data deletion by contacting us
  • Certain data may be retained for legal, compliance, or record-keeping purposes

6. User Responsibilities and Conduct

When using our Services, you agree to:

  • Comply with all applicable laws and regulations
  • Use the Services only for lawful educational and training purposes
  • Not share your account credentials with others
  • Not upload or distribute malicious software or code
  • Not engage in any activity that interferes with the Services
  • Not attempt to gain unauthorized access to the platform
  • Respect intellectual property rights of others
  • Not use the Services to harass, abuse, or harm others
  • Not impersonate any person or entity

7. Intellectual Property Rights

7.1 Avallark's Intellectual Property

The Services, including all content, features, functionality, software, and technology, are owned by Avallark Services LLP and are protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of any content you upload or create within Bodhi LMS ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to provide and improve the Services.

7.3 Course Content

Course content provided by instructors or organizations remains the property of the respective owners. Users may not reproduce, distribute, or use course content outside of the platform without permission.

8. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.

By using the Services, you consent to the collection, use, and processing of your data as described in our Privacy Policy.

9. Service Level and Availability

9.1 Uptime Commitment

We strive to maintain 99.5% uptime for our Services, excluding scheduled maintenance and circumstances beyond our control.

9.2 Scheduled Maintenance

We may perform scheduled maintenance with advance notice. We will make reasonable efforts to schedule maintenance during off-peak hours.

9.3 Service Interruptions

We are not liable for service interruptions caused by:

  • Internet service provider failures
  • Force majeure events
  • Cyberattacks or security incidents
  • Third-party service failures

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Services are provided "as is" without warranties of any kind
  • We do not warrant that the Services will be uninterrupted or error-free
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim
  • We are not responsible for the accuracy or quality of user-generated content

11. Indemnification

You agree to indemnify and hold harmless Avallark Services LLP, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the cancellation procedures outlined in Section 5.

12.2 Termination by Avallark

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails or your account is past due
  • You engage in fraudulent or illegal activities
  • We are required to do so by law
12.3 Effect of Termination

Upon termination:

  • Your right to access the Services will immediately cease
  • We may delete your account and data after 30 days
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts in Cochin, Kerala, India.

13.3 Informal Resolution

Before filing a claim, you agree to first contact us at legal@avallark.com to attempt to resolve the dispute informally.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending you an email notification (for significant changes)

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Avallark Services LLP regarding the Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Third-Party Services

The Services may integrate with third-party services. Your use of such services is subject to their respective terms and conditions.
